Userpop Terms of Service

1. Acceptance of Terms
By accessing or using Userpop (“Service”), provided by Userpop Inc. (“Company,” “we,” “us,” or “our”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.
2. Description of Service
Userpop provides a platform for collecting, managing, and displaying user-generated content (UGC), including interactive customer feedback, public Q&A, and real-time engagement tools designed to enhance website conversions and user trust.
3. Account Registration and Responsibilities
3.1 Eligibility: You must be at least 18 years old to use the Service. By registering, you confirm that you have the authority to enter into this agreement.
3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials. Any activity occurring under your account is your responsibility.
3.3 Accuracy of Information: You agree to provide accurate and complete information when creating an account and to update such information as necessary.
4. User-Generated Content
4.1 Ownership & License: You retain ownership of all UGC submitted through the Service. However, by submitting content, you grant Userpop a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute such content for the purpose of operating and improving the Service.
4.2 Prohibited Content: You agree not to submit content that is illegal, defamatory, obscene, or infringes upon the rights of others. We reserve the right to remove any content at our discretion.
5. Subscription and Payment
5.1 Fees: Certain features of the Service may require a paid subscription. Fees are specified at the time of purchase and may be subject to change.
5.2 Billing: Subscriptions are billed on a recurring basis unless canceled before the renewal date.
5.3 Refunds: All payments are non-refundable unless otherwise specified.
6. Privacy and Data Usage
6.1 Data Collection: We collect and process personal data in accordance with our Privacy Policy.
6.2 First-Party Data Ownership: Userpop allows businesses to retain full ownership of their collected customer data, minimizing reliance on third-party platforms.
6.3 Security Measures: We implement reasonable security measures to protect data; however, we cannot guarantee absolute security.
7. Restrictions and Acceptable Use
7.1 Prohibited Activities: You agree not to:
- Use the Service for illegal or fraudulent purposes.
- Interfere with or disrupt the Service.
- Reverse-engineer, copy, or distribute the software underlying the Service.
7.2 Compliance: You must comply with all applicable laws and regulations when using the Service.
8. Termination and Suspension
8.1 Termination by User: You may cancel your account at any time.
8.2 Termination by Userpop: We reserve the right to suspend or terminate your access to the Service for violations of these Terms or at our sole discretion.
9. Disclaimers and Limitation of Liability
9.1 No Warranty: The Service is provided “as is” and “as available” without any warranties, express or implied.
9.2 Limitation of Liability: Userpop shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.
10. Indemnification
You agree to indemnify and hold Userpop harmless from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
11. Changes to Terms
We may update these Terms from time to time. Continued use of the Service after changes constitute acceptance of the new Terms.
12. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of Ontario. Any disputes shall be resolved through binding arbitration in Ontario, Canada.
